1. General
1.1. The website Hermanimm.com (hereinafter: the “Website”) is operated and managed by Herman Immigration Ltd., Company No. 517215539 (hereinafter: the “Company”).
1.2. The Website serves as an informational website presenting information about the Company’s services in the fields of U.S. visas/immigration and related services (hereinafter: the “User(s)”, “Visitor(s)”, “Client(s)”). Among other things, the Website may include articles, guides, and explanatory content regarding various visas, consular procedures, entry permits, and more.
1.3. The provisions of these Terms shall apply to any use of the Website, including browsing, reading, leaving an inquiry, registration and/or contacting us. The Company may modify the Terms, the content, or the structure of the Website from time to time at its sole discretion; your use of the Website after publication of a change constitutes renewed consent to the updated Terms. If you do not agree to the Terms, refrain from using the Website and contact us for an alternative solution.
1.4. The binding version of the Terms is the latest version as published on the Website at the time of use. In the event of a contradiction between any content on the Website and these Terms, the Terms shall prevail. The Terms are cumulative.

2. Material Clarification, No Affiliation with Embassy/Authorities
2.1. The Company is not affiliated with, does not represent, and does not act on behalf of the U.S. Embassy, the U.S. Government, or any other governmental authority.
2.2. The Company’s services are advisory, guidance, preparation, and administrative assistance services only (such as: preparation of forms, appointment scheduling, client instructions, translations, etc.) and do not constitute a substitute for official information from authorities or a commitment to any result.
2.3. The Client has the option to carry out the process independently and without the Company’s services.
2.4. Official information regarding U.S. visa requirements is available on the official authorities’ websites (such as the website of the U.S. Embassy in Israel). Reliance on the Website’s content is at the User’s sole responsibility.
3. Registration, Permitted Use, and Prohibited Uses
3.1. Use of the Website is intended for personal and non-commercial purposes only, in accordance with the law and these Terms.
3.2. Without prior written authorization from the Company, it is prohibited, inter alia, to:
a. Make commercial use of the Website or its content.
b. Copy/reproduce/distribute/publish/store/create derivative works from the content.
c. Perform reverse engineering or use bots/Robots/Crawlers for scanning/collecting content.
d. Display content within a frame (iframe) or in any way that alters/conceals the Website’s design.
e. Collect personal information about users without explicit written consent.
f. Violate privacy or reputation of any person, publish defamation, incitement, fraud, or misleading content.
g. Create/manage a database from the Website’s content.
3.3. Violation of this section may result in blocking access and the initiation of civil and/or criminal proceedings subject to the law.
4. Eligibility, Registration, and Identification
4.1. The Company may condition access to certain services on registration, full identification, and verification of details (as required in the registration form).
4.2. Impersonation of a person/entity, providing false details, or using another’s details is prohibited.
4.3. The Company may, at its sole discretion, prevent/restrict access to a user who violates the Terms, makes unreasonable use, or harms the Website’s operation.
5. Intellectual Property
5.1. All rights in the Website and its content, including texts, images, video, design, code, databases, trademarks, logos, documentation, methods, and Know-how are the exclusive property of the Company and/or third parties who have authorized the Company to use them.
5.2. No content may be copied, distributed, reproduced, translated, published, broadcast, made available to the public, displayed, performed, licensed, used to create derivative works, or used for any commercial/other purpose without prior written authorization from the Company.
5.3. No “deep linking” to internal pages of the Website or display of the Website within a Frame is permitted without explicit written consent.
6. Website Content, Advertisements, and External Links
6.1. The Website and all information therein are provided “AS IS” and are subject to changes/updates. Inaccuracies, errors, or omissions may occur.
6.2. The content on the Website is informational only, does not constitute legal advice/guarantee of result/binding recommendation, and does not replace official information from authorities. Any reliance on the content is at the User’s sole responsibility.
6.3. The Website may include links to third-party websites/services. The Company is not responsible for the content, availability, legality, security, or privacy policies of such parties. Use of links is at the User’s sole responsibility.
6.4. The Company may remove and/or add links at its discretion and does not guarantee their proper operation.
7. Cookies and Tracking Technologies
7.1. The Company uses Cookies and similar technologies (pixels, SDKs, and the like) for the following purposes:
• Proper and ongoing operation of the Website.

8. Limitation of Liability

8.2. The Company, its employees, directors, agents, or representatives shall not bear any liability for damage of any kind (direct/indirect/consequential/incidental/punitive), including loss of profit/work/travel/bookings, loss of data, damage to reputation, and the like, arising directly/indirectly from use of the Website, its content, or services, including due to reliance on content, disruptions, internet/telephony failures, spelling/translation/typing errors, or any use/non-use of the Website.
8.3. Nothing herein shall derogate from any other limitation of liability under the law or these Terms.
9. Compliance and Indemnification
9.1. The User undertakes to comply with applicable law, these Terms, and any instruction on the Website.
9.2. The User shall indemnify and compensate the Company and/or anyone on its behalf for any damage, expense, claim, demand, or loss (including attorneys’ fees) arising from violation of the Terms, unlawful/unreasonable use of the Website, or infringement of third-party rights.
10. Availability, Modification, and Termination of Service
10.1. The Company may restrict/prevent access to the Website, modify/discontinue the Website, in whole or in part, temporarily or permanently, at any time and without prior notice.
10.2. The Company may condition use/access upon registration and/or payment. The User shall have no claim in this regard.
11. Agreed Limitation Period
11.1. Without derogating from the law, any claim/demand against the Company in connection with use of the Website and/or its content shall be limited to 6 months from the date the cause of action arose, within the meaning of Section 19 of the Limitation Law, 5718–1958.
12. Governing Law and Jurisdiction
12.1. This agreement shall be governed solely by the laws of the State of Israel.
12.2. The exclusive and unique jurisdiction in any matter relating to this agreement, its interpretation, performance, or arising therefrom, shall be vested solely in the competent court in the city of Tel Aviv–Jaffa.
12.3. For the avoidance of doubt, it is clarified and agreed by the Client that in any case only a final judgment that has not been stayed by a court in Israel under Israeli law shall determine that the Company bears any liability whatsoever, if determined.
13. Miscellaneous
13.1. The Terms do not create any partnership/agency/employer–employee relationship between the User and the Company.
13.2. If any provision is determined to be unenforceable, it shall be severed without affecting the validity of the remaining provisions; an alternative provision shall apply as close as possible to its purpose.
13.3. The Terms constitute the entire agreement between the parties regarding use of the Website and supersede any prior understanding/representation.
14. Privacy, Provision of Information, and Direct Marketing
14.1. Provision of personal information to the Company is voluntary; there is no legal obligation to provide information. Failure to provide required information may prevent provision of services.
14.2. Information provided by the User shall be used in accordance with the law and the Company’s Privacy Policy (which constitutes a separate and binding document) for purposes of: registration, contact, preparation of applications, appointment scheduling, translations, service customization, security, and legal compliance.
14.3. The User confirms that information provided for completion of forms/applications may be translated and transferred to official entities (such as official platforms of U.S. authorities), and that transfer of information does not constitute a commitment to any result.
14.4. Consent to direct marketing: by completing a form/leaving details on the Website, the User may mark Opt-in to receive marketing materials/notifications via email/SMS/WhatsApp. Consent may be withdrawn at any time via the “unsubscribe” link/replying to the message/contacting info@hermanimm.com.
